Our standard of conduct
Confidentiality & Information Protection
This is Arsimo’s standard for non-public information entrusted during cooperation discussions, project assessment or agreed work.
We use information entrusted to Arsimo only for the purpose for which it was shared. We do not use a client’s or prospective client’s non-public materials as material for our own competing project or another client’s project.
Information we protect
This covers non-public information whose confidential nature is clear from its content or context. It may include business and product ideas, service concepts, designs, documents, process descriptions, operating methods, workflows, technical concepts, unpublished strategies, know-how, source materials, internal documentation and other project information that is not publicly available.
Information may be provided directly, in correspondence or through the contact form, in meetings or calls, in files or documents, and during discovery, analysis, estimation or delivery. We do not require every item to be marked “confidential” when its nature or context reasonably indicates that it is non-public.
Permitted use
We may use entrusted information only as reasonably necessary to understand an enquiry or project, assess feasibility, prepare a response or proposal, estimate work, communicate, perform agreed services, maintain necessary operational and security records, and meet legal obligations.
What we do not do with entrusted information
We do not use an entrusted non-public business or product concept, solution, process, documentation or know-how to build an Arsimo competing venture, another client’s project or for unrelated commercial purposes. This commitment concerns the use of entrusted non-public information; it does not claim exclusive rights over abstract ideas as a matter of intellectual property law.
This principle applies whether or not an agreement is concluded, Arsimo takes on the project or the discussion results in an engagement. Its application to information already entrusted does not depend on the project’s commercial success or on Arsimo proceeding with the work.
Access and reasonable protection
We limit access to people who need the information for the relevant enquiry, project or necessary operational support. Arsimo applies reasonable technical and organisational measures appropriate to the nature of the information and the services involved. Necessary service providers may process information only to the extent required to provide their services and under the applicable contractual and legal framework.
Exceptions
This commitment does not cover information to the extent Arsimo can establish that it was already lawfully known without a confidentiality restriction, was independently developed without using the entrusted information, is or becomes public other than through Arsimo’s breach, or was lawfully obtained from a third party without a confidentiality restriction. Information may be disclosed where required by applicable law, a court order or a binding request from a competent authority. Where legally permitted and reasonably practicable, we may inform the affected client or prospective client.
Independent work and general knowledge
These principles do not prevent Arsimo from using general knowledge, skills and experience, independently developing similar features or solutions, or working in the same industry. The condition is that the entrusted non-public information itself is not used or disclosed.
Materials, intellectual property and personal data
Sharing materials with Arsimo does not by itself transfer their ownership or intellectual property rights to Arsimo. This policy does not transfer Arsimo’s rights to a client either. Ownership and licences for specific materials are governed by the applicable agreement, order or project terms.
If entrusted materials contain personal data, its processing remains separately governed by the applicable data-protection rules and Arsimo’s Privacy Policy.
Retention and deletion
We retain information only as long as reasonably necessary for its relevant purpose, legal obligations, security, handling potential disputes or justified operational records, subject to applicable data-protection rules. Return or deletion requirements for a particular project can be agreed separately.
Cooperation in stages
A discussion may end with an initial assessment or proceed to agreed work. Sharing information during a discussion does not broaden its permitted purpose; any further scope follows the arrangements for the project. Working materials and notes prepared for assessment or delivery are subject to the same principles as the information from which they derive.
You do not need to send every detail at once. If material is particularly sensitive or you need formal terms before sharing it, contact Arsimo first. We can agree the appropriate handling terms before receiving that material.
Need a separate NDA?
This page describes Arsimo’s standard of conduct; it is not a negotiated bilateral NDA formed merely by visiting the page. If a project requires a formal NDA or client-specific confidentiality terms, these can be agreed separately before sensitive materials are shared. Legal and contractual obligations applicable to a particular engagement remain separately authoritative.
